  2.                        BETA TEST AGREEMENT 
  3.  
  4. Larry Lion, referred to as "the developer" of a computer program 
  5. described as: 
  6.  
  7. Zebra!, referred to as "the computer software" 
  8.  
  9. and Public Zoo, referred to as the "test-site" desire to enter
  10. into an  agreement whereby Public Zoo will "beta-test" the
  11. computer software, IT  IS AGREED: 
  12.  
  13. That Larry Lion will provide full working copies of the computer 
  14. software to test-site for beta-test. 
  15.  
  16. That test-site agrees that it will keep the existence of the 
  17. beta-test confidential, and will require that the users of the 
  18. software agree to this condition, and will use the software 
  19. otherwise in the ordinary course of the business of test-site.

  21. Test-Site acknowledges that the software is the property of and 
  22. is copyrighted by Larry Lion. 
  23.  
  24. Test-Site will keep a log of usage, and will provide the log to 
  25. Larry Lion at regular intervals. Public Zoo will report any
  26. failures of the  software to operate properly to Developer. 
  27.  
  28. Larry Lion will have the right, after the close of usual business 
  29. hours, once monthly during the beta-test period, to make back-ups 
  30. of the computer program, and the reports and files generated by 
  31. the computer program. Any reports and files generated by the 
  32. program will be destroyed by Larry Lion after the beta test and
  33. will  not be disclosed to any third parties.

  35. Larry Lion reserves the right to recall the software at any time,
  36. and  to require Public Zoo to permanently erase with a file wiping
  37. utility  that permanently erases files the software. 
  38.  
  39. Larry Lion by releasing the software for beta test does not
  40. guarantee  support for the product.

  42. The beta-test period shall begin on March 15, 1994 and is
  43. scheduled to end  on May 14, 1994. Public Zoo may be extended by 
  44. the parties upon agreement.

  47. As compensation for the services supplied by the beta-test site, 
  48. the beta-test site will be provided a copy of the final tested 
  49. and released version of the software with the same support as is 
  50. provided by Larry Lion to its commercial customers. However,
  51. should  Larry Lion determine not to release the software to the
  52. general public,  Public Zoo may continue to use the final version
  53. delivered by Larry Lion,  unless Larry Lion determines to recall
  54. the same as is provided herein.

  60. Test-site acknowledges that the program is not in final or fully 
  61. tested form. Accordingly, failures may occur, and data or other 
  62. results generated by the program may be inaccurate. Given that 
  63. this is a "test" of the software in consideration of the, TEST 
  64. SITE AGREES THAT IT WILL NOT MAKE ANY CLAIM BASED ON FAILURES 
  65. AGAINST DEVELOPER BASED ON THE FAILURE OF THE SOFTWARE TO CONFORM 
  66. TO ITS DESCRIPTION OR SPECIFICATIONS.
